Governing Law

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. The parties agree that any dispute, claim, or controversy arising out of or relating to this Agreement, including its interpretation, performance, enforcement, or termination, shall be subject to the applicable laws of the State of California.

To the extent permitted by applicable law, the parties agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought in the state or federal courts located in California, and each party consents to the jurisdiction and venue of such courts.

Nothing in this provision shall be interpreted to waive or limit any rights or protections that cannot legally be waived under applicable California or federal law.
